Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Invoxly (the “Service”), a product operated by MS07 GmbH, Salzachstraße 15 Top 15, 1200 Wien, Austria (“MS07”, “we”, “us” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Invoxly helps you and your organisation manage contracts, invoices and expenses in a single workspace, including automated collection and AI-assisted extraction of invoice data from connected sources such as email. We may add, change or remove features at any time.

2. Accounts

You must provide accurate information when registering and keep your login credentials confidential. You are responsible for all activity that occurs under your account. You must be at least 18 years old and legally able to enter into these Terms. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

3. Organisations and members

The Service is organised around organisations (workspaces). An organisation administrator may invite other members and assign roles (such as administrator or read-only). Members with administrative rights can access, modify and delete data belonging to the organisation. You are responsible for managing access within your organisations.

4. Acceptable use

You agree not to:
  • use the Service in violation of any applicable law or regulation;
  • upload content or connect data sources you are not authorised to access or process;
  • attempt to gain unauthorised access to the Service, other accounts, or our systems;
  • interfere with or disrupt the integrity or performance of the Service; or
  • reverse engineer, resell or misuse the Service except as permitted by law.

5. Your content

You retain all rights to the data, documents and files you upload or that the Service collects on your behalf (“Your Content”). You grant us a limited licence to host, process, transmit and display Your Content solely to provide and improve the Service. You are responsible for the lawfulness of Your Content and for having any necessary rights and consents. Our handling of personal data is described in our Privacy Policy.

6. Third-party integrations

The Service can connect to third-party services (for example Google Gmail) to collect invoices. Your use of those services is subject to their own terms. You authorise us to access and process data from the sources you connect, and you may disconnect them at any time.

7. AI-assisted features

Invoxly uses automated and AI-based processing to extract information from invoices and documents. These results may contain errors and are provided for convenience only. You are responsible for reviewing and verifying extracted data before relying on it for accounting, tax or other purposes.

8. Availability

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may suspend or restrict access for maintenance, security or legal reasons.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if required to do so by law. Upon termination, your right to use the Service ends; provisions that by their nature should survive (such as ownership, disclaimers and limitations of liability) will survive.

10. Disclaimer of warranties

To the extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the extent permitted by law, MS07 GmbH shall not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue or data, arising out of or in connection with your use of the Service. Nothing in these Terms excludes liability that cannot be excluded under mandatory applicable law (including for damages caused by gross negligence or intent).

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of Austria, excluding its conflict of law rules and the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Vienna, Austria, to the extent permitted by law. Mandatory consumer protection laws of your country of residence remain unaffected.
